These Terms of Service govern your access to and use of the BWC website and any related applications or online services provided by Bloomfield Wellness Club, an Ontario corporation. By accessing or using our Website, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Website.

Please read these Terms carefully. They contain important information about your legal rights, remedies, and obligations.

1. Acceptance of Terms
By accessing or using the Website, you confirm that you are at least eighteen (18) years of age and that you have the legal capacity to enter into a binding agreement. You agree to abide by all applicable laws and regulations in connection with your use of the Website. We may update or modify these Terms from time to time (for example, to reflect changes to our services or for legal reasons). If we make material changes, we will provide notice by posting the updated Terms on the Website and updating the last updated date at the top. Continued use of the Website after the updated Terms become effective will constitute your acceptance of the changes. If you do not agree to the revised Terms, you should discontinue use of the Website.

Minors: The Website is not intended for use by individuals under eighteen (18) years of age. If you are a parent or legal guardian and you permit your minor child to access the Facility under your membership, you accept these Terms on their behalf and assume full responsibility for their compliance with these Terms and for any activities conducted by them on the Website or at the Facility.

2. Description of Services
BWC operates a gym and recovery facility located in Prince Edward County, Ontario. The Facility may operate without staff during certain hours, and access is controlled by the BWC mobile application or access card. Our Website provides information about our services, membership options, and related offerings, including but not limited to: Founders Club Membership and Standard Membership options; Day pass purchases for single-day access; Information regarding gym equipment, recovery rooms, personal services, and training, located on the main gym floor; and access to the BWC mobile application for facility entry and membership management. We strive to ensure the Website is available at all times, but we do not guarantee uninterrupted availability. From time to time, the Website may be inaccessible or inoperable due to scheduled maintenance, technical issues, updates, or causes beyond our control. You acknowledge that the Website, as with any online service, may occasionally be unavailable and that BWC will not be liable for any downtime or unavailability.

Health and Fitness Disclaimer: Any fitness tips, workout suggestions, health-related content, or other information provided on the Website is for general informational purposes only and does not constitute medical advice, diagnosis, or treatment. You should consult with a qualified healthcare provider before beginning any exercise program or making decisions about your health. BWC does not provide medical advice, and nothing on the Website should be construed as such.

Vending Machine Disclaimer: The Vending Machine offers grab-and-go food and beverage items. These products may contain allergens, including but not limited to nuts, dairy, gluten, soy, and eggs. If you have food allergies, sensitivities, or dietary restrictions, please review product labels carefully and consult with staff before making a purchase. BWC is not responsible for any adverse reactions resulting from the consumption of Vending machine products.

3. Account Registration and Security
To access certain features of our services, including facility access via the BWC mobile application, you may be required to create an account and provide information such as your name, a valid email address, contact details, and payment information. You agree to provide accurate, current, and complete information during registration and to promptly update any information that becomes inaccurate or outdated. You are responsible for maintaining the confidentiality and security of your account login credentials. Do not share your password or account access with any unauthorized persons. You are fully responsible for all activities that occur under your account. If you suspect or become aware of any unauthorized use of your account or any security breach, you must immediately notify BWC. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Membership and Payment Terms
Membership purchases and associated payment terms are governed by the BWC Membership Agreement Waiver, which must be executed before accessing the Facility. General payment terms include: Your membership will automatically renew at the end of each term unless you provide us with written notice of cancellation at least thirty (30) days before the renewal date. Renewal creates a new one-year agreement. We will provide notice of renewal and any price changes at least sixty (60) days before the end of your current term. All fees are exclusive of applicable taxes, which will be added to the charges where required by law. If a pre-authorized payment is refused or returned for insufficient funds, BWC may charge a $25 NSF fee. We reserve the right to suspend Facility access until outstanding balances are paid.

5. User Obligations and Acceptable Use
By using the Website, you agree to the following obligations: Lawful Use: You will only use the Website for lawful purposes, in compliance with all applicable local, provincial, national, and international laws and regulations. You may not use the Website to engage in any illegal or fraudulent activities. Prohibited Conduct: You will not (and will not allow any third party to): Copy, modify, distribute, or create derivative works of any part of the Website without our prior written consent; Reverse engineer, decompile, or attempt to discover the source code or underlying trade secrets of the Website, except to the limited extent such activity is expressly permitted by applicable law; Bypass, disable, or interfere with any security or technical features of the Website; Use the Website in a manner that could impair, overburden, damage, or disrupt our systems or networks; Attempt to gain unauthorized access to any accounts, computer systems, or networks associated with BWC; Use the Website to post, upload, transmit, or otherwise disseminate any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable; or Misrepresent your identity or affiliation with any person or entity. BWC reserves the right to investigate and take appropriate legal action against anyone who, in our judgment, violates these guidelines, including suspending or terminating accounts and reporting such activities to law enforcement as necessary.

6. Intellectual Property Rights

Ownership of the Website: All right, title, and interest in and to the Website (including all software, code, databases, user interfaces, website design, and all content and materials available on or through the Website) are and will remain the exclusive property of BWC and/or its licensors. The BWC name, logo, and all related product and service names are our trademarks or service marks. These Terms do not grant you any rights to use any of BWC's trademarks, logos, domain names, or other brand features, except as necessary for you to use the Website in accordance with these Terms or with our prior written permission. Your License to Use the Website: Subject to your compliance with these Terms, BWC grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for your personal, non-commercial purposes.

7. Privacy and Data Protection
BWC collects personal information (including name, contact information, payment details, medical history, and usage data) for the purpose of providing membership services. BWC is committed to complying with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA), which requires businesses to be accountable, identify purposes, obtain consent, limit collection, and safeguard personal information. We use Exercise.com as a third-party service provider to manage client data. While Exercise.com states that it complies with PIPEDA, BWC remains directly accountable for the protection of your personal information and for ensuring that any third-party processors handle your data in accordance with applicable privacy laws. BWC will not sell or share your personal information except as required by law or as necessary to process payments, manage memberships, or provide services. We may send notices regarding billing, updates to policies, or information about the Facility via email or SMS through the app.

By using the Website, you consent to the collection, use, and disclosure of your information in accordance with applicable laws. Your Privacy Rights: You have the right to access, correct, and request deletion of your personal information, subject to applicable legal requirements. To exercise these rights, please contact us using the information provided in Section 21 of these Terms.

8. Cookies and Tracking Technologies
The Website may use cookies, web beacons, pixels, and similar tracking technologies to collect information about your browsing activities, improve your experience, and analyse Website traffic. Cookies are small data files stored on your device that help us remember your preferences and understand how you interact with the Website. Types of Cookies We Use: We may use essential cookies necessary for the operation of the Website, functional cookies that remember your preferences, and analytics cookies that help us understand how visitors use the Website.

Your Choices: Most web browsers allow you to control cookies through their settings. You may choose to block or delete cookies; however, doing so may affect the functionality of certain features of the Website. By continuing to use the Website, you consent to our use of cookies as described herein.

9. Electronic Communications (CASL Compliance)
By providing your email address, telephone number, or other contact information and using the Website or becoming a member, you consent to receive commercial electronic messages from BWC, including but not limited to newsletters, promotional offers, membership updates, billing notices, and information about the Facility and our services. This consent is provided in accordance with Canada's Anti-Spam Legislation (CASL).

Withdrawal of Consent: You may withdraw your consent to receive commercial electronic messages at any time by clicking the “subscribe” link included in our emails, adjusting your communication preferences in the BWC mobile application, or by contacting us directly using the information provided in Section 21 of these Terms. Please note that even if you withdraw consent to marketing communications, we may still send you transactional or service-related messages (such as billing notices, account alerts, or changes to these Terms) as permitted by law.

10. Image and Marketing Release
You grant BWC the right to photograph, videotape, or otherwise record you while on the premises and to use your image and likeness for promotional purposes, including social media, marketing materials, and advertising. You waive any right to payment for such use. If you do not wish to be photographed or recorded for promotional purposes, you may opt out at any time by providing written notice to BWC using the contact information in Section 21. Upon receipt of your opt-out request, we will use reasonable efforts to exclude you from future promotional photography or recordings; however, we cannot guarantee removal from materials already produced or distributed before your opt-out request.

11. Security Cameras

For safety and security, the Facility is monitored by video surveillance in common areas and gym spaces. Cameras are not installed in bathrooms or private treatment rooms. By accessing the Facility, you consent to being recorded.

12. Termination
Termination by BWC: BWC may, in its sole discretion, suspend or terminate your access to the Website and/or your account, with or without notice, for any reason, including but not limited to: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) conduct that BWC believes is harmful to other users, third parties, or the business interests of BWC; or (d) upon your request.

Effect of Termination: Upon termination of your account or access to the Website: (a) your right to use the Website will immediately cease; (b) you will remain liable for any amounts owed to BWC; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6 (Intellectual Property Rights), 7 (Privacy and Data Protection), 13 (Disclaimer of Warranties), 14 (Limitation of Liability), 15 (Indemnification), and 17 (Governing Law and Sever-ability). Termination by You: You may terminate your account at any time by contacting us using the information provided in Section 21. Termination of your Website account does not automatically terminate your membership agreement with BWC, which is governed by the separate BWC Membership Agreement & Waiver.

13. Disclaimer of Warranties
To the fullest extent permitted by law, the Website is provided on an “AS IS” basis, with all faults and without warranty of any kind. BWC disclaims all warranties and conditions, express, implied, or statutory, including but not limited to warranties of merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Website will meet your requirements or expectations, that the Website will be uninterrupted, timely, secure, or error-free, or that any information provided will be accurate or reliable. BWC may integrate with or provide links to third-party services. These third-party services are not under our control, and we provide them merely as a convenience. We make no warranties or representations of any kind regarding any third-party services, and we are not responsible for the content, operation, or practices of any third-party platform. Your use of third-party services is at your own risk and is subject to the terms and conditions of those third parties.

14. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will BWC or its owners, directors, officers, employees, contractors, trainers, agents, or partners be liable for any indirect, incidental, special, consequential, or exemplary damages whatsoever arising out of or in connection with the Website or these Terms. This includes, without limitation, any damages for lost profits, lost savings or revenue, loss of data, business interruption, or any other commercial or economic loss, even if we have been advised of the possibility of such damages. Nothing in these Terms shall exclude or limit liability to a greater extent than is permitted by applicable law. In particular, nothing herein limits either party's liability for death or personal injury caused by that party’s negligence, or for fraud or fraudulent misrepresentation.

15. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless BWC and its owners, directors, officers, employees, contractors, trainers, agents, and partners from and against all claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Website; (b) your breach of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit, post, or transmit through the Website. This indemnification obligation shall apply only to the extent permitted by applicable consumer protection legislation and shall not require you to indemnify BWC for any matter arising from BWC’s own negligence, wilful misconduct, or breach of these Terms.

16. Force Majeure
BWC shall not be liable for delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, pandemics, government orders, fire, flood, strikes, war, civil disturbance, equipment failures, network failures, or changes in applicable law. During such events, BWC may suspend services at its sole discretion.

17. Governing Law, Dispute Resolution, and Severability
Governing Law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Jurisdiction: You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the courts of the Province of Ontario, Canada, and you hereby irrevocably consent to the personal jurisdiction and venue in such courts. Informal Resolution: Before initiating any formal legal proceeding, you agree to first contact BWC and attempt to resolve any dispute informally by sending a written description of the dispute to the contact information provided in Section 21. BWC and you agree to negotiate in good faith to resolve the dispute for a period of at least thirty (30) days from the date of receipt of such notice. Sever-ability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of the Terms will remain in full force and effect. Consumer Rights Preserved: Nothing in these Terms limits your rights under applicable consumer protection legislation, including the Ontario Consumer Protection Act, 2002.

18. Entire Agreement, Amendments, and General Provisions
These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire understanding between you and BWC regarding the Website and supersede all prior agreements, representations, or understandings. In the event of any conflict between these Terms and the BWC Membership Agreement & Waiver, the BWC Membership Agreement & Waiver shall prevail with respect to matters relating to your membership and use of the Facility. Amendments: BWC may modify these Terms at any time by providing notice of changes via the Website. Continued use of the Website after notice of changes constitutes acceptance of the modified terms. Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without BWCs prior written consent. BWC may assign, transfer, or delegate its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law. Waiver: The failure of BWC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by BWC. Interpretation: The headings in these Terms are for convenience only and do not affect interpretation. The words “include”, “includes” and “including” are deemed to be followed by the words without limitation. References to you include your heirs, executors, administrators, and permitted assigns. References to “BWC” include its successors and assignments.

19. Ontario Consumer Protection Act Compliance
BWC is committed to complying with the Ontario Consumer Protection Act, 2002 (CPA) and its regulations regarding personal development services agreements. Under the CPA: Cooling-Off Period: You have the right to cancel your membership agreement within ten (10) days of receiving a written copy of the agreement, for any reason and without penalty. Ongoing Cancellation Rights: You may cancel your membership agreement at any time by providing BWC with thirty (30) days; written notice. Upon cancellation, you are responsible only for: (a) the portion of fees for services received before the effective date of cancellation; and (b) any applicable initiation fee, which shall not exceed two times the monthly membership fee. Term Limitations: Membership agreements cannot exceed twelve (12) months in duration. Automatic renewal of a membership creates a new one-year agreement, and you will receive notice of renewal and any price changes at least sixty (60) days before the end of your current Term. Written Agreement: You will receive a written copy of your membership agreement at the time of purchase, which will set out all material terms including the services to be provided, the total cost, and your cancellation rights. Refunds: If you cancel your membership in accordance with the CPA, BWC will issue any refund owed to you within fifteen (15) days of the effective date of cancellation.

20. Accessibility
BWC is committed to providing an accessible website and services to all users. We strive to comply with the Accessibility for Ontarians with Disabilities Act, 2005 (AODA) and the Web Content Accessibility Guidelines (WCAG) 2.0 Level AA standards. If you experience any difficulty accessing any part of the Website or require assistance, please contact us using the information provided in Section 21, and we will work with you to provide the information or service you need in an accessible format.
